Affiliate Program Agreement

This Affiliate Program Agreement (“Agreement”) is between Inner Waymark LLC dba Soul Lift Cacao (“Soul Lift Cacao,” “we,” “us”) and you (“Affiliate”).

By applying to or participating in the Soul Lift Cacao Affiliate Program, you agree to the terms below.

1. Eligibility & Acceptance

You must be at least 18 years old to participate.

By submitting an application or using an affiliate link or code, you confirm that you have read, understood, and agree to this Agreement. Participation is subject to approval at Soul Lift Cacao’s discretion.

2. Non-Exclusivity

This Agreement is non-exclusive. You may promote other brands, and Soul Lift Cacao may work with other affiliates.

Affiliates may not:

• Sell the same cacao varieties under different names or labels

• Relabel or rebrand Soul Lift Cacao products

• Resell Soul Lift Cacao products online (taking payment and re-shipping)

Violation may result in immediate termination.

3. Affiliate Links & Promotion

Approved affiliates receive a unique tracked affiliate link (and optionally a discount code) through our affiliate platform.

Commissions are earned only through properly tracked links or approved codes. Retroactive credit is not available.

Affiliates may not:

• Use unapproved links or codes

• Bid on Soul Lift Cacao branded keywords or domains

• Promote in a misleading way or imply medical or therapeutic claims

4. Commission Structure

Standard affiliate link (7-day cookie tracking):

20% on the first 10 sales per month

25% on the 11th and additional sales per month

Discount link (5% customer discount, no cookie tracking):

15% on the first 10 sales per month

20% on the 11th and additional sales per month

Purchases must occur in the same visit to qualify.

Commission rates are capped at 25%.

Soul Lift Cacao reserves the right to update commission rates with notice.

5. Commission Eligibility

Commissions are earned only when:

• The purchase is completed and not refunded

• The customer is not the affiliate

• The purchase is tracked via an approved affiliate link or code

• The affiliate is not physically present at a Soul Lift Cacao sales location, event, or booth

Additional terms:

• Commission is calculated on the product subtotal minus payment processing fees (2.9%)

• Taxes and shipping are excluded

• Only the first purchase of a subscription is commissionable

• Gift cards, memberships, trips, and retreats are excluded unless explicitly approved

6. Payouts & Taxes

The minimum payout threshold is $25.

Payouts are issued by the 1st of the month following the month in which the threshold is met and are paid via PayPal or Venmo in USD.

Affiliates must provide a valid W-9 and are responsible for all applicable taxes.

Soul Lift Cacao may adjust payout thresholds or methods with notice.

Any payout dispute must be submitted within 30 days of receipt.

7. FTC & Marketing Compliance

Affiliates must comply with all FTC Endorsement Guidelines.

Affiliate relationships must be clearly disclosed using language such as:

• “Affiliate link”

• “Sponsored”

• “Thanks to Soul Lift Cacao”

Affiliates may not make medical, therapeutic, or disease-treatment claims or claim scientific proof without substantiation. Affiliates are responsible for all claims and statements they make.

8. Intellectual Property

Soul Lift Cacao grants affiliates a limited, non-exclusive, revocable license to use approved branding solely to promote affiliate links.

Affiliates may not use Soul Lift Cacao branding in domain names, paid ads, keywords, or in any misleading or disparaging way.

Soul Lift Cacao may reuse affiliate-created promotional content royalty-free unless otherwise agreed in writing.

Unauthorized use of intellectual property may result in termination and legal action.

9. Term & Termination

This Agreement begins upon acceptance and may be terminated by either party at any time.

Affiliate accounts inactive for two consecutive months may be deactivated.

Upon termination, affiliates in good standing will be paid earned commissions accrued prior to termination. Violations may result in forfeiture of unpaid commissions.

10. Acceptable Use

Affiliates may not:

• Engage in spam, fraud, or deceptive marketing

• Violate laws or third-party rights

• Use Soul Lift Cacao branding improperly

• Operate MLMs, gambling, or pyramid schemes

• Publish obscene, hateful, or discriminatory content

11. Limitation of Liability

Participation in the Affiliate Program is at your own risk. The program is provided “as is” without warranties of any kind.

Soul Lift Cacao’s maximum liability under this Agreement shall not exceed $100 USD.

12. Governing Law & Dispute Resolution

This Agreement is governed by the laws of the State of Oregon. Venue shall be Multnomah County, Oregon.

The parties agree to attempt good-faith resolution before pursuing binding arbitration. Intellectual property claims by Soul Lift Cacao are exempt from arbitration.

13. Modifications

Soul Lift Cacao may update this Agreement at any time. Continued participation after notice constitutes acceptance of the updated terms.

14. Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding the Affiliate Program and supersedes all prior agreements or understandings.
